I. Fundamental provisions

The sport club Tennis Centre Český Krumlov (onward only SC TC Č.Krumlov) is a voluntary union of the natural a legal persons, running the sport, sport-educational, touristic and economic activity.
The residence of SK TC Č.Krumlov is Chvalšinská 247, Český Krumlov, 381 01

II. Mission and aim

The basic mission of the SC TC Č.Krumlov is :
1. to organize sport activities within participation to the sport, educational and touristic activities, create material and training conditions.
2. to form the wide possibilities of the utilization of own sport grounds for the interested people from the public, mainly for the youth,
3. to form the economic base for the fulfillment of its aims, mainly via own economic activity,
4. to built up, run and maintain the sport facilities and other facilities, which it owns or uses,
5. to lead the members and other participants of the sport-educational process in SC TC Č.Krumlov to meet the basic ethic, esthetic and moral rules, allows them the awareness in the field of the body-culture and culture at all,
6. to defend the members´ interests, in a purpose to cooperate with the municipal authorities, other organizations ( for example ČSTV, sport unions etc.) and individuals,
7. to help the development of the public life, culture, health etc. using other ways. Mainly via the work beneficial to public and via the organization and education in the municipality (district, territory).

III. Authorities of SC TC Č.Krumlov

The authorities of SC TC Č.Krumlov are :
1. General meeting
2. Executive committee,
3. Auditing committee.
The highest authority of SC TC Č.Krumlov is the general meeting formed of all members of SC TC Č.Krumlov. The board meeting of the general meeting is held at least one a year. If 1/3 of members of SC TC Č.Krumlov ask for the board meeting, or possibly the executive committee or the executive, the meeting is held in 1 moth since the delivery of the initiative.
The general meeting :
1. decides about the decline of the SC TC Č.Krumlov and in this case also about the property settlement,
2. decides about the name, residence and symbolism of the SC TC Č.Krumlov,
3. decides about the acceptance of the changes in rules of SC TC Č.Krumlov ,
4. elects the executive committee and auditing committee; term of office of the elected members of the executive committee and of the auditing committee is quadrennial,
5. decides about new division (section) establishment,
6. decides about the division (section) or an organization dismissing in case that their activity is against the law 1/,
7. approves and deal the report about the economic activity and property of SC TC Č.Krumlov, approves the budget of the executive committee and contributions for the divisions (sections), 1/ mainly the law No. 83/1990 Sb., about uniting of the citizens
8. determines main directions of the SC TC Č.Krumlov activity for the next period,
9. approves and issues the organization order and other internal directives, which regulate the relationships of SC TC Č.Krumlov.
The general meeting is quorate at the presence of absolute majority of all delegates with the decisive votes. It is needed at least the approval of 3/5 of the attendees to make the resolution of general meeting valid, in case the general meeting didn´t decide otherwise.
In case that a half of hour before the planned beginning there is not absolute majority of the delegates with decisive votes, the general meeting is quorate in a number of attendees. The general meeting is got together by the executive of SC TC Č.Krumlov.
The executive authority of the general meeting is the executive committee. The executive committee assures the fulfillment of the SC TC Č.Krumlov tasks in a period between the particular general meetings. It decides about all matters, if they are not in the exclusive authority of the general meeting, in the process the general meeting can reserve the decisions in other matters.
The executive committee has the number of members determined according the size of the membership on each board meeting. But it always has an executive, a company secretary and a keeper. The number of members of the executive committee has to be odd. The executive gets together the committee according the need, but at least once a month.
Executive committee mainly:
1. assures the fulfillment of the general meeting resolution,
2. elects the executive, the company secretary and the keeper of the SC TC Č.Krumlov
3. organizes and leads the economic activity of the SC TC Č.Krumlov,
4. prepares the documents for the board meeting, mainly concerning the budget, main directions of the activity, grant and state contributions dividing , ČSTV, other organizations and natural persons,
5. takes care about the efficient utilization and maintenance of the SC TC Č.Krumlov property
6. cooperates with the sport unions,
7. assures the prompt cooperation with the local municipal authorities, companies, other TJ, other organizations and natural persons,
8. forms the professional apparat (in necessarily extent)to assure the SC TC Č.Krumlov activity.
  
  The executive committee is possible to have a quorum, if there is an absolute majority of its members present. It is needed the approval of the absolute majority of attendees to make the executive committee´s resolution valid.
The auditing committee executes the audit of the executive committee´s economic activity. The number of its members and its status is approved by the general meeting.

IV. Collective rules of the membership

Each natural person or legal body can become the member of the SC TC Č.Krumlov, if they agree on the SC TC Č.Krumlov mission. The executive committee decides about the new member entrance. The executive committee determinates the conditions for the member entrance according the general membership rules approved by the general meeting.
The executive committee sets the height of the membership contributions.
The members’ registration, members’ identity cards etc. is regulated by the general meeting by the internal directive.

V. Members´ rights and duties

The basic rights of the regular SC TC Č.Krumlov members are :
1. To take part in a sport, education, culture and social life according own interests and abilities within the division (in TJ/SC) and within the SC TC Č.Krumlov as an entirety as well according the rules of S TC Č.Krumlov and in case of the participation in competitions of Czech sport unions also according their competition directives, if these were accepted by SC TC Č.Krumlov,
2. To take a part in all actions, trainings and workshops, which allows the professional and efficiency grow by their focus and also brings the right to take a part in all advantages of the membership,
3. To apply own ideas (opinions), proposals and critique and this according the importance directly or via the mediator (division representative) in authority of SC TC Č.Krumlov,
4. Take a part in negotiations of the SC TC Č.Krumlov authorities, if it is negotiated about the activity or the behavior,
5. To elected and to be elected since the age of 18 to all electable authorities of SC TC Č.Krumlov.
The basic duties of the regular member are:
1. To meet all rules and internal directives of SC TC Č.Krumlov and also the basic ethic and moral standards of the sportsman,
2. To meet the resolutions and decisions of the SC TC Č.Krumlov authorities,
3. To save, protect and improve the property, which is used by SC TC Č.Krumlov for assuring the club activity; to attempt for the renown,
4. To pay the contributions properly and on time and also the other fees concerning the membership and activities in SC TC Č.Krumlov, if the responsible authority of SC TC Č.Krumlov decided so,
5. To fulfill properly the functions and tasks with which he/she was charged.
The regular membership expires by:
1. secession of the member.
2. deletion because of not carrying out the basic duties, he executive committee decides about the deletion,
3. expulsion for the serious misbehavior against the membership, the executive committee decides about the expulsion,
4. death of the member or by the decline of the SC TC Č.Krumlov (dismissing, unify with another union or according the legitimate decision of the ministry about the union dismissing)

VI. Property of SC TC Č.Krumlov and management

The source of the SC TC Č.Krumlov property is mainly:
- Contributions of the SC TC Č.Krumlov members,
- Incomes form the sport-educational, culture and social activities,
- Incomes from the own economic activity,
- Contributions and grants from the sport unions,
- State contributions, grants from ČSTV and other organizations and people,
- Property transferred to the ownership of SC TC Č.Krumlov by the member of SC TC Č.Krumlov.
The property of SC TC Č.Krumlov is the property of SC TC Č.Krumlov as an entirety. The executive decides about the transfers of the property rights of the property except the real estate; it decides also about property gaining and lost and about other disposals with the property. The general meeting decides about all disposals (gain, lost etc) of the real estate.
The rules of the economic activity are regulated by the internal directive of SC TC Č.Krumlov.
The economic activity of SC TC Č.Krumlov is regulated by the rules approved by general meeting. These rules also regulate the procedure of SC TC Č.Krumlov during the possible entry to the stock company, joint venture etc. The general meeting divides incomes from the economic activity according the needs and interests of SC TC Č.Krumlov (and particular divisions).

VIII. Actions on behalf of SC TC Č.Krumlov

The chairman himself, the company secretary himself or another member of the executive committee authorized by them can act on behalf of SC TC Č.Krumlov.
